Terms of Service

1. Agreement

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Client”, “you”) and Entity Y, governing your access to and use of our services, platforms, diagnostics, creative assets, and any other deliverables (collectively, the “Services”).

These Terms apply to all engagements, unless otherwise specified in a written Service Level Agreement (SLA). If an SLA exists, it governs project-specific terms, while these Terms govern the overarching relationship.

2. SERVICES

Entity Y provides:

  • Performance marketing strategy and execution

  • Email marketing, CRM setup and automation

  • Paid media management (Meta, Google, LinkedIn)

  • Creative and video production

  • Revenue diagnostics and analytics

  • Growth consulting and systems integration
     

We reserve the right to modify or discontinue services at any time.

3. Engagement & SLAs

All engagements are governed by a separate SLA, which outlines:

  • Scope of work

  • Fees and payment terms

  • Project milestones and timelines

  • Custom provisions

4. Fees & Payment Terms

  • Invoices are due within 7 calendar days of issue, unless otherwise agreed in writing

  • Late payments may incur interest of 2% per month

  • Work may be paused or terminated for non-payment

  • Diagnostic fees and initial retainers are non-refundable unless otherwise stated

5. Intellectual Property

  • All IP developed specifically for the Client (ad creatives, copy, reports) is assigned to the Client upon full payment

  • Entity Y retains ownership of proprietary frameworks, templates, software, diagnostics, and internal methodologies

  • Entity Y reserves the right to showcase anonymised results for promotional purposes unless expressly prohibited in writing

6. Confidentiality

Both parties shall maintain the confidentiality of non-public information received under the engagement. This obligation survives termination of the agreement.

7. Data Use & Privacy

All personal and business data is handled in accordance with our Privacy Policy and applicable data laws.

8. Termination

  • Either party may terminate an ongoing engagement with 30 days’ written notice, unless otherwise stated in an SLA

  • Entity Y may terminate immediately in case of material breach, fraud, or reputational risk

  • Upon termination, any unpaid fees remain due, and access to proprietary tools or assets may be revoked

9. Limitation of Liability

  • Entity Y shall not be liable for indirect, incidental, or consequential damages

  • Maximum liability is limited to the total fees paid by the Client in the last 30 days prior to the claim

  • No guarantees or warranties are provided unless expressly stated in the SLA

10. Governing Law

These Terms are governed by the laws of the Republic of South Africa. Disputes shall be referred to arbitration under the rules of the Arbitration Foundation of Southern Africa (AFSA), held in Cape Town.

Entity Y reserves the right to amend these Terms from time to time. Clients will be notified of material changes via email or website update.
